1. Agreement to Terms

By accessing or using the website at goldenaiaudit.com and the AI Automation Audit System, marketed as the Revenue Leak Diagnostic (the "Service"), operated by Golden Rule AI, a brand of Catalina HS LLC ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.

2. Description of Service

Golden Rule AI provides AI-powered revenue analysis for contractors and service businesses. This comprises a free missed-call calculator and a paid Revenue Leak Diagnostic. Both analyze user-provided business data to produce a modeled assessment of potential revenue losses from missed calls, slow follow-up, appointment no-shows, and website conversion. Fees, credit, and refund terms for the paid audit are in Section 15.

Our Service may also include scheduling consultations via our online booking system, email communications with audit results and recommendations, and SMS/text message communications as described in Section 5 below. We may also provide paid implementation and retainer services, governed by a separate written service agreement together with Sections 16 to 18.

3. Eligibility and Age Restriction

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. If you are under 18, you may not use the Service, provide any personal information, or opt in to SMS messaging.

4. User Responsibilities

When using the Service, you agree to:

  • Provide accurate and truthful information
  • Not use the Service for any unlawful purpose
  • Not attempt to interfere with, compromise, or disrupt the Service
  • Not reproduce, duplicate, or resell any part of the Service without permission
  • Not submit false or misleading business data to manipulate audit results

5. SMS/Text Messaging Terms

By providing your phone number and opting in to receive text messages from Golden Rule AI, you consent to receive SMS/text messages at the phone number you provided. Your consent is given through an explicit opt-in checkbox on our website.

Types of SMS messages you may receive:

  • Audit Results: Delivery of your AI-powered revenue audit report and key findings
  • Appointment Reminders: Reminders and confirmations for scheduled strategy calls and consultations
  • Follow-Up Communications: Messages related to your audit results, recommendations, and next steps
  • Service Updates: Notifications about new features or updates to our Service
  • Marketing Messages: Promotional information about our AI automation services and solutions for your business

Message frequency varies based on your interactions with our Service. You may receive up to 5 messages per month.

Message and data rates may apply. You are responsible for any message and data charges imposed by your mobile carrier. Check with your carrier for details about your messaging plan.

Opt-Out: You may opt out of receiving SMS messages at any time by replying STOP to any text message you receive from us. After opting out, you will receive a single confirmation message confirming your unsubscription. No further messages will be sent unless you opt in again. You may also opt out by contacting us at zach@goldenaiaudit.com.

Consent Not Required for Purchase: SMS consent is not required as a condition of purchasing any goods or services from Golden Rule AI.

Mobile Information Sharing: We will not share your opt-in information or mobile phone number with any third parties for their marketing purposes. Your phone number is only shared with our SMS delivery provider (Twilio) for the sole purpose of delivering messages you have consented to receive.

Carrier Liability Disclaimer: Mobile carriers, including but not limited to T-Mobile, AT&T, Verizon, and other participating carriers, are not liable for delayed or undelivered messages. Delivery of SMS messages is subject to effective transmission by your mobile carrier and network conditions beyond our control.

Supported Carriers: Our SMS service is compatible with most major US mobile carriers. Carriers may not be liable for delayed or undelivered messages.

6. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including your phone number and SMS opt-in data. Please review our Privacy Policy carefully.

7. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, and software — are owned by Catalina HS LLC and are protected by copyright, trademark, and other intellectual property laws. Your audit report is provided for your personal or internal business use only.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the audit results will be accurate, complete, or applicable to your specific business situation. The audit report is for informational purposes only and does not constitute professional financial, legal, or business advice.

9. Limitation of Liability

To the fullest extent permitted by law, Catalina HS LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, regardless of the theory of liability.

10. Indemnification

You agree to indemnify and hold harmless Catalina HS LLC from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

11. Third-Party Services

Our Service integrates with third-party services including Supabase, Twilio, Resend, Vercel, Anthropic (Claude AI), and Calendly. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

14. Termination

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

15. Diagnostic Phase, Setup Fees, and Refunds

Build engagements begin with a diagnostic phase ("Week Zero"): we instrument your phone line, measure a baseline of real call data, and deliver a written diagnosis before any system goes live. Week Zero is included in the setup fee of a build engagement and is not billed separately. Where the setup fee is stated as split payments, the first half is due to begin Week Zero and the second half is due at go-live (as defined in Section 16 — the system live and handling calls, not the date of signature or payment). Monthly service fees begin at go-live, not at signup. A standalone diagnostic may also be offered as a separately priced engagement; where it is, the fee is stated at checkout and this Section applies to it equally.

  • Baseline delivery guarantee. Your measured baseline report will be delivered within 10 days of the date on which you have both (a) forwarded your business line to the tracking number we provide and (b) supplied the requested phone records. If we miss that date, all setup amounts paid to date (or the standalone diagnostic fee) are refunded in full on written request, and no further setup amount is charged. The 10-day clock does not run until both conditions are met, because we cannot measure a line that is not forwarded.
  • Contradiction refund. If your measured baseline materially contradicts the estimates that qualified you for the engagement — such that we advise you not to proceed — all setup amounts paid to date are refunded in full, any unpaid setup amount is never charged, you keep the diagnosis, and the engagement ends. This refund exists so that our advice not to build costs you nothing.
  • Go-live deadline (stall clause). If the system is not live within 30 days of signature because the client-side prerequisites (call forwarding and phone records) have not been provided, one of two things happens at the client's choice: the client names the blocker and a new go-live date is agreed in writing, or the initial setup payment is refunded in full and the engagement ends. Where a limited number of founding-price positions is advertised, a position released under this clause may be offered to another client. This clause exists so that neither party is left in an open-ended engagement that is not running.
  • Founding upgrade credit. Clients who purchased Core at an advertised founding rate and later upgrade to After-Hours receive their first month of the After-Hours service fee at no charge. This credit does not extend the founding rate to the upgraded tier.
  • Ending before go-live. Where measurement confirms your qualifying estimates and you choose not to proceed to go-live, amounts already paid for the diagnostic phase are earned and non-refundable, and the go-live payment and monthly fees are never charged. You keep the diagnosis.
  • Advice not to proceed on other grounds. Where measurement confirms your qualifying estimates and we nonetheless advise against or defer a build — for volume, timing, or a different underlying problem — that advice is a delivered outcome of the diagnostic phase and does not itself give rise to a refund.
  • Standalone diagnostic credit. A separately purchased standalone diagnostic fee is credited in full against the setup fee of any build engagement started within 90 days of delivery. The credit is applied to your first build invoice, is not transferable, and has no cash value.
  • Inputs. Modeled portions of any report are computed from figures you provide together with measured call data. Materially inaccurate or incomplete inputs void the refunds above, because the model cannot be more accurate than what it is given.
  • Nature of the diagnosis. The preliminary report is a modeled assessment; the baseline report reflects measured call metadata for the measurement window only. Neither is an audited financial statement or a guarantee of recoverable revenue.

16. Build Performance Guarantee

Where a build engagement is sold with a 90-day booked-appointment guarantee, the following conditions apply in full. They exist so the guarantee can actually be honored rather than argued about.

  • Baseline. The baseline is the number of booked appointments in the 90 days immediately before go-live, evidenced by an export from your CRM or calendar and agreed in writing by both parties before go-live. If no baseline is documented before go-live, no performance guarantee applies.
  • Source of truth. The CRM or calendar system named in your service agreement is the sole source of measurement for both the baseline and the guarantee period.
  • Measurement period. 90 consecutive days beginning at go-live, defined as the date the system is live and handling calls or messages — not the date of signature or payment.
  • Your obligations. Keep the system active and connected for the full period; maintain call forwarding, website widgets, and integrations as configured; keep telephony, CRM, and calendar credentials valid; respond to booking requests and handoffs; and supply accurate baseline data.
  • Exclusions. The guarantee does not apply to periods when the system was paused, disabled, or disconnected by you; to material reductions in your own lead generation or advertising spend during the period; to business closure, sale, or seasonal shutdown; or to outages caused by third-party carriers or platforms outside our reasonable control.
  • Claim window. Claims must be submitted in writing within 30 days of the end of the measurement period, with the supporting CRM or calendar export.
  • Remedy and cap. The remedy is a refund of monthly retainer fees paid for the measurement period, capped at three months of the monthly fee. Setup fees and third-party pass-through costs (telephony, AI usage, CRM subscriptions) are non-refundable. This is your sole and exclusive remedy under the guarantee.
  • What is not guaranteed. The guarantee covers booked appointments only. It is not a guarantee of revenue, closed jobs, close rate, lead volume, or any specific dollar recovery.

17. Pilot Engagements

Where a 30-day paid pilot is offered at a reduced monthly rate, the pilot is a standalone engagement for its stated term.

  • No automatic conversion. A pilot does not roll into an ongoing retainer. Continuing past the pilot term requires a new written agreement signed by you. We will not begin billing a retainer without that affirmative sign-off.
  • Pilot pricing is for the pilot term only and does not set the ongoing retainer rate.
  • Work product. Configurations built during the pilot remain ours unless and until a retainer agreement is signed, at which point the terms of that agreement govern.
  • Performance guarantees under Section 16 apply to retainer engagements, not to pilots, unless expressly stated in writing.

18. Referral Credits

  • Reward. One month's service credit for each referred business that signs a paid engagement and remains a client past day 30.
  • Cap. A maximum of two referral credits may be earned in any rolling 12-month period.
  • Form. Credits are applied against future invoices. They are not cash, are not transferable, have no cash value, and are not redeemable on termination.
  • No rate change. Referral rewards do not alter your contracted monthly rate. We do not offer permanent or percentage discounts on the monthly retainer.
  • Referred business. A referred business receives its audit at no charge. This does not affect any refund or credit terms in Section 15.
